Terms of Service
These terms are the agreement between you and HoldThat Systems for use of the EventOS website and platform.

1. Acceptance
By creating an account, accessing, or using EventOS, you agree to these terms. If you are agreeing on behalf of an organization, you confirm you have authority to bind that organization.
2. The service
EventOS provides event operations software including events, registrations, vendor applications, sponsors, volunteers, announcements, tasks, check-in, and reporting. We may add, change, or remove features to improve the product.
3. Accounts and eligibility
You must be at least 18 years old and provide accurate information. You are responsible for your login credentials, for all activity in your workspace, and for the team members you invite. Notify us promptly of unauthorized access.
4. Subscriptions, trials, and payment
Paid plans are billed in advance on the interval shown at checkout and renew automatically until cancelled. Free trials convert to a paid plan only if you choose to subscribe. Payments are processed by Stripe and are subject to Stripe's terms. Fees are exclusive of taxes. Except where required by law, payments are non-refundable; you may cancel at any time and retain access through the end of the paid period.
If you use EventOS to collect payments from your own vendors, sponsors, or attendees, you are the merchant of record for those transactions and are responsible for refunds, chargebacks, and disclosures to your participants.
5. Your data
You retain all rights to the data you and your participants submit. You grant us a limited license to host, process, transmit, and display that data solely to operate and support the service. You are responsible for having the rights and permissions needed to submit participant data and for complying with applicable privacy laws.
You can export your data from every module at any time.
6. Acceptable use
You may not use EventOS to break the law, infringe others' rights, send unsolicited bulk email, upload malware, attempt to bypass security or access other organizations' data, scrape or reverse engineer the platform, resell the service without authorization, or place excessive load on our infrastructure. 7. Third-party services
EventOS integrates with third parties such as payment, email, and analytics providers. Their services are governed by their own terms, and we are not responsible for them.
8. Intellectual property
EventOS, the HoldThat name and logos, and all software, design, and content we provide are owned by HoldThat Systems and protected by intellectual property law. We grant you a limited, non-exclusive, non-transferable right to use the service during your subscription.
9. Suspension and termination
You may cancel at any time from your account settings. We may suspend or terminate access for non-payment, violation of these terms, or activity that risks harm to the platform or other users. On termination, we will make a reasonable window available for you to export your data before deletion.
10. Disclaimers
The service is provided "as is" and "as available" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant uninterrupted or error-free operation. EventOS is a coordination tool, not legal, insurance, safety, or compliance advice.
11. Limitation of liability
To the maximum extent permitted by law, HoldThat Systems is not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill. Our total liability for any claim is limited to the amounts you paid us for the service in the twelve months before the event giving rise to the claim.
12. Indemnification
You will defend and indemnify HoldThat Systems against claims arising from your use of the service, your data, your events, or your violation of these terms or applicable law.
13. Governing law and disputes
These terms are governed by the laws of the State of New York, without regard to conflict of law rules. Disputes will be brought exclusively in the state or federal courts located in Albany County, New York, and both parties consent to that jurisdiction.
14. Changes to these terms
We may update these terms. Material changes take effect when posted with a new "Last updated" date, and continued use of EventOS means you accept the updated terms.
